This is my first upgrade. Do I just copy the files in 3.2 upgrade with modifications to the cgi area? Will this preserve my old calendar information? I guess then I would do it again with the 3.21 files?

** Do I just copy the files in 3.2 upgrade with modifications to the cgi area? **

Each file in the upgrade has to go into the exact directory where they are designed to go. Once unzipped locally, most FTP programs should be able to overlay the upgrade files into the correct directories automatically maintaining the directory structure of the archive.

** Will this preserve my old calendar information?  **

It should but it's always a good idea to make a backup of originals files before making any modifications to them... just in case.

** I guess then I would do it again with the 3.21 files? **

Yes, but there are considerably fewer this time.

Well it almost worked. The calendars are fine but when I go to the Admin I get the following error:
Content-type:text/html  MESSAGE TEXT MISSING FOR: TEMPLATE_FILE_DOES_NOT_EXIST
MESSAGE TEXT MISSING FOR: TEMPLATE_FILE_DOES_NOT_EXIST

FATAL ERROR: COULD NOT LOAD error.html

I guess there are some files the got lost? To which template is this error refering?

I found the missing files. In the templates there were some folders that were empty which cleared out the templates. It all now seems to work fine.
